OF USE.

1. Acceptance of these terms

These Terms of Use (“Terms”) are an agreement between you and Poiva (“Poiva,” “we,” “us,” or “our”) governing your use of the Marquee mobile app (the “App”). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. What Marquee provides

Marquee is an offline utility that lets you create and display static or scrolling text on your device. The App does not require an account and does not include cloud services, advertising, analytics, or paid features.

3. License

Subject to these Terms, Poiva grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control for lawful personal or business purposes.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or attempt to extract the App’s source code except where applicable law expressly permits it. You may not remove or alter proprietary notices or use the App to create a competing product through unauthorized copying.

4. Your content and conduct

You retain responsibility for the messages and other content you enter or display using Marquee. Your content is stored locally and is not sent to Poiva. You grant Poiva no rights to that content because the App does not receive it.

You agree not to use the App in a way that violates law, infringes another person’s rights, facilitates harm, creates a dangerous distraction, or displays content you do not have the right to use. You are responsible for using the App safely and appropriately for your surroundings, including while near roads, vehicles, crowds, or public spaces.

5. Ownership

The App, including its software, visual design, branding, and other materials supplied by Poiva, is owned by Poiva or its licensors and is protected by applicable intellectual property laws. These Terms do not transfer ownership of the App to you.

6. Updates and availability

We may update, change, suspend, or discontinue some or all of the App. Updates may be needed for compatibility, security, or feature improvements. We do not promise that the App will always be available, error-free, or compatible with every device or operating system version.

7. Disclaimer

To the maximum extent permitted by law, the App is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

8. Limitation of liability

To the maximum extent permitted by law, Poiva will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, business, or opportunity, arising from or related to your use of or inability to use the App. Where liability cannot be excluded, Poiva’s liability will be limited to the minimum amount permitted by applicable law.

9. Termination

These Terms remain in effect while you use the App. You may end them at any time by uninstalling the App. Your license ends automatically if you materially violate these Terms. Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and governing law—will survive.

10. Governing law

These Terms are governed by the laws of Jamaica, without regard to conflict-of-law principles. Any mandatory consumer protections available to you under the laws of your country or region remain unaffected.

11. Changes to these terms

We may update these Terms to reflect changes to the App, law, or our practices. We will post revised Terms at this URL and update the effective date above. Your continued use of the App after revised Terms take effect means you accept them, to the extent permitted by law.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms and the Marquee Privacy Policy form the entire agreement between you and Poiva concerning the App, except for any additional terms required by the app store through which you obtained it.
